Summary of the CBI Board

The CBI Board is ultimately responsible for strategic, operational and financial decisions at
the CBI. The Board is chaired by the CBI Chair usually six times a year and includes the
support and guidance from five Non-Executive Directors. The Board is also comprised of two
Executive Directors, the CBI CEO and the CBI Chief Financial and Operations Officer. You

In line with corporate governance best practice, the Non-Executive Directors of the Board
provide independent knowledge, judgement and expertise and constructively challenge the
executive members of the Board. The Board is also assisted by four sub committees, the
Audit and Risk Committee, People and Culture Committee, Remuneration Committee and
Nominations Committee. All chaired by Non-Executive Directors.

The CBI is seeking experienced Non-Executive Directors to join the CBI Board to fill two
vacant seats due to current terms ending.

This is a core and vital role at CBI and we are looking for individuals that can embrace and build on the improvements to governance, people and culture that we outlined in our Prospectus earlier in the year and to help take a revitalised CBI forward.

Role as Non-Executive Director on the CBI Board

• In line with the UK Corporate Governance Code, Non-Executive Directors of the CBI
  Board provide constructive challenge, help monitor and manage corporate wide risk
  and provide guidance on the CBI strategy.
• Scrutiny of the management’s performance in meeting agreed goals and objectives
  and the monitoring of performance.
• Providing challenge and guidance on the CBI’s business plan, strategy and budget.
• Providing guidance and advice on CBI positioning for key strategic issues.
• Reviewing the CBI approach to people and culture, HR issues and risks.
• Chairing or joining one or more of the Boards sub-committees.
• The Board in a traditional annual cycle would review people and HR metrics and data
  looking at the CBI culture, receive updates on the CBI strategy or approve any new
  strategy for the CBI, review the CBI approach to risk management and the
  mitigations in place in the annual risk register and agree and approve the annual
  budget for the year ahead.

Preferred skills, knowledge and expertise

Non-Executive Directors must have a broad range of skills and experience of the business
environment external to the CBI and be able to articulate this to the rest of CBI Board.
Executive and non-executive directors will be expected to meet at least six times a year,
along with various ad hoc CBI commitments.

• Candidates should have relevant experience at Board level either in an executive
  or non-executive capacity.
• Experience or demonstrative knowledge around the role of a NED, understanding
  of business strategy and setting and achieving commercial and financial goals.
• Experience or demonstrative knowledge around financial management, risk, legal
  experience and corporate governance of an organisation.
• Understanding and experience of people and culture issues and building safe,
  values led, inclusive work environments.
• Understanding, knowledge & passion for the CBI mission for sustainable growth.

Term of office and time commitment

Appointment and election: The CBI Nominations Committee, led by the Senior
Independent Director leads the process for appointments to the CBI Board. The Nominations
Committee will make a recommendation for the Board to approve a successful candidate
who will then stand for election at the subsequent CBI Annual General Meeting.

Term limit: For Non-Executive Directors, the term is three years, renewable for a second,
three-year term. Non-Executive Directors will step down from the Board after six years. All
Board members will stand for election at the CBI AGM each year.

Frequency of meetings: The CBI Board typically meets 6 times a year for a scheduled 2-
hour meeting, papers are circulated one week in advance. There may be a number of ad hoc
meetings, dinners and events that Board members are invited to throughout the year, such
as the CBI AGM and Annual Conference.

Remuneration: This position is not remunerated, although basic travel costs would be
covered by the CBI if requested.

Quorum for the CBI Board: Quorum for a meeting to progress is 50% + 1
